SEBI Orders Avadhut Sathe Academy to Refund Rs 546 Crore Over Unregistered Advisory Services
Markets regulator SEBI has directed Avadhut Sathe Trading Academy and its founder to refund Rs 546.17 crore collected from participants for unregistered investment advisory services.

Regulatory Crackdown on Unregistered Advisory Services
In a decisive enforcement action, the Securities and Exchange Board of India (SEBI) has directed Avadhut Sathe Trading Academy Pvt Ltd (ASTAPL) and its founder, Avadhut Sathe, to refund a staggering Rs 546.17 crore collected from participants. The funds were amassed through what the market regulator determined to be unregistered investment advisory and research analyst services.
According to SEBI's exhaustive 171-page final order, the refund amount must also include an interest component of Rs 67.87 crore. Furthermore, the regulator has barred both the academy and Avadhut Sathe from accessing the securities market for a period of two years, or until full compliance with the refund directives is achieved—whichever extends later.
Penalties and Governance Failures
SEBI imposed a collective penalty of Rs 11.5 crore on the entities involved for severe violations of securities market regulations. The financial breakdown of the penalties includes:
* Avadhut Sathe Trading Academy Pvt Ltd: Fined Rs 6 crore * Avadhut Sathe: Fined Rs 4 crore * Gouri Avadhut Sathe: Fined Rs 1.5 crore
Gouri Avadhut Sathe has additionally been barred from accessing the securities market for six months. The regulator noted that her liability stemmed from a direct failure to exercise adequate governance oversight over the academy's operations.
Misleading Claims and Unverified Recommendations
Investigations revealed that the academy and its founder systematically provided investment advice, stock recommendations, and market strategies through paid training programmes, interactive sessions, and dedicated WhatsApp groups without holding the mandatory regulatory registrations.
Investigators uncovered evidence that participants were lured into these programmes through misleading promotional representations promising unrealistic returns. Crucially, the advisory services were dispensed without undertaking any mandatory suitability assessments to evaluate whether the high-risk recommendations aligned with the financial profiles of the recipients.
Strict Deadlines and Asset Freezes
SEBI's order highlights that since its inception, the academy collected approximately Rs 601.38 crore from course participants. Following a detailed audit of financial evidence, fees amounting to Rs 546.17 crore directly attributable to the offending programmes were earmarked for disgorgement and restitution.
The regulatory body has mandated that the respondents complete all refunds within five months of receiving the order. Additionally, they are required to publish prominent notices in national newspapers within 30 days, outlining the explicit procedures for investors to claim their rightful refunds.
To ensure compliance, SEBI has ordered that the bank accounts of the respondents remain frozen for all debits until the designated restitution amounts are successfully deposited into the specified investor protection and escrow accounts.
